Terms of Service

Last Updated: 20 October 2026

When you make a payment through Stripe, sign an order form that references these Terms, or otherwise accept these Terms online (including when installing the Switch app for Microsoft Teams or Slack), you confirm that you have read, understood, and agree to these Terms of Service.

These Terms form a legally binding agreement between you (the Customer) and Switch Agent Oy (formerly Switch Visual Oy), Business ID 3561539-8, Helsinki, Finland (“Switch,” “we,” “us,” or “our”).

This Agreement becomes effective, and the Customer’s subscription starts, on the earliest of: (a) confirmation of payment through Stripe checkout; (b) signature or acceptance of an order form; (c) acceptance of an invoice; or (d) click-through acceptance of these Terms or installation of the Switch app for Microsoft Teams or Slack (the “Effective Date”).

1.6 “Confidential Information” means non-public information of a party disclosed to the other that is marked or reasonably understood to be confidential.

1.7 “Agreement” means these Terms together with any applicable order form, the Data Processing Agreement (“DPA”) published at switchagent.io/dpa, the Acceptable Use Policy (“AUP”) published at switchagent.io/acceptable-use, or supplemental terms.

1.8 "Managed Services" means AI-generated content creation and AI-powered automation or agent services performed by Switch's personnel on behalf of the Customer.

1.9 "Self-Service Platform" means Switch's online software tools that allow Customers to independently access and deploy AI-generated content, automated workflows, and AI agent capabilities.

1.10 "Deliverables" means outputs produced by AI agents operating through the Managed Services or Self-Service Platform, including but not limited to AI-generated content, automated task results, and creative assets such as images or videos.

1.11 "AI Agent" means an AI-powered software system that autonomously or semi-autonomously executes tasks, workflows, or decisions on behalf of the Customer using tools, data access, or external integrations.

1.13 “Integration” means an external integration (as referred to in Section 1.11) between the Services and a Third-Party Platform, such as the Switch app for Microsoft Teams or the Switch app for Slack.

2. Service Access & Use

Switch grants the Customer a non-exclusive, non-transferable, limited, revocable right to access and use the Services solely for the Customer’s internal business purposes, subject to these Terms and any applicable order or subscription plan.

The Company provides two distinct offerings:

(a) Switch Platform (Self-Serve SaaS) – an automated, self-service software platform that enables users to generate AI-based content, deploy AI agents, and automate workflows using third-party artificial intelligence models, including inside Third-Party Platforms such as Microsoft Teams and Slack.

(b) Switch Managed Services – human-delivered services, including but not limited to identifying, building, and maintaining AI agents and workflows, AI consulting and onboarding, and creative production (such as creative direction, manual editing, and delivery coordination), ordered separately.

The Platform is provided without human review or quality assurance by default. Managed Services are governed by separate delivery expectations and may involve human oversight.

Switch may modify or improve the Services from time to time. Modifications that do not materially diminish functionality may occur without notice; material changes will be notified at least fourteen (14) days in advance.

2.1 Eligibility & Account Registration

  • You must be at least 18 years old (or of legal majority in your jurisdiction).

  • You must provide accurate, current information and keep it updated.

  • You are responsible for safeguarding your account credentials and all activities under your account.

2.2 Scope of License

Subject to compliance with these Terms, Switch grants a limited, non-exclusive, non-transferable license to use the Service for lawful purposes only.

2.3 Acceptable Use

The AUP forms part of these Terms. In addition, you must not:

  • upload or transmit unlawful, infringing, or defamatory content;

  • reverse-engineer or circumvent any technical protection in the Service;

  • interfere with Service integrity (e.g., DDoS, spam, excessive automated requests);

  • use the Service or Outputs to develop, train, or operate a competing AI model or service.

  • Users may not use the Platform to:

  • Upload content they do not own or have rights to use

  • Generate counterfeit products, trademark impersonations, or misleading brand representations

  • Create deepfakes or likenesses of real individuals without consent

  • Generate illegal, deceptive, or harmful content

  • Circumvent usage limits, credit systems, or paywalls

The Platform may not be used as a high-risk AI system as defined under the EU AI Act, including but not limited to uses involving:

  • biometric identification or categorization of natural persons;

  • employment, worker management, or recruitment decision-making;

  • creditworthiness, insurance underwriting, or financial risk assessment;

  • access to essential public or private services;

  • law enforcement, border control, or judicial decision-making.

This restriction applies only to the deployment of AI-generated outputs and does not limit the Platform’s creative or generative capabilities.

The Company reserves the right to suspend or terminate accounts for violations of this section.

2.4 Suspending Service

Switch may suspend or limit access to the Services if (a) the Customer fails to make timely payment, (b) the Customer’s use materially exceeds fair or intended usage levels, or (c) such suspension is necessary to prevent harm, abuse, or legal noncompliance. Switch will provide reasonable notice unless suspension is required urgently.

Automated or excessive use that materially degrades system performance may result in temporary rate-limiting or account suspension

2.5 Third-Party Platforms and Integrations (Microsoft Teams and Slack)

(a) The Services may be used through, or connected to, Third-Party Platforms, including the Switch app for Microsoft Teams (with sign-in through Microsoft Entra ID) and the Switch app for Slack.

(b) By installing an Integration or granting consent to it, the Customer authorises Switch to access and process the data in the Customer’s Microsoft tenant or Slack workspace that the AI Agents need to perform the tasks requested by the Customer and its users, within the permissions granted. Switch uses this access only to provide the Services.

(c) The Customer is responsible for obtaining any administrator consent required in its Microsoft Entra ID tenant or Slack workspace, for deciding which users may use the Integration, and for ensuring that its users comply with these Terms and with the terms and policies of the Third-Party Platform provider, including Microsoft and Slack.

(d) Third-Party Platforms are provided by their own providers under their own terms. Switch does not control and is not responsible for their availability, performance, or security, or for changes to their features, interfaces, or policies. Switch may need to modify, suspend, or discontinue an Integration as a result.

(e) Personal data that Switch processes on the Customer’s behalf through an Integration is governed by the DPA (Section 13). The Privacy Policy covers only personal data that Switch handles as a controller.

(f) The Customer may revoke Switch’s access at any time by uninstalling the Switch app from its Microsoft Teams or Slack workspace, or by removing the consent granted in Microsoft Entra ID. After revocation, features that depend on the Integration stop working. Data already processed is handled in accordance with Section 9 and the Data Processing Agreement.

3. Ownership, Rights & AI Training

The Services are primarily delivered through AI agent systems: autonomous or semi-autonomous software that executes tasks, workflows, and content generation on behalf of the Customer. AI-generated images and videos are one category of output that agents may produce; the Services are not limited to visual content generation.

3.1 User Content

You retain ownership of your User Content. By submitting User Content, you grant Switch and its affiliates the following licenses:

  • A non-exclusive, royalty-free, worldwide, sublicensable license to host, store, copy, process, display, and modify the User Content as necessary to operate and provide the Services.

  • A non-exclusive, royalty-free, worldwide license to aggregate and analyze anonymized or de-identified data derived from your Content for operational, analytical, and improvement purposes.

  • A Model Training License, applicable only where permitted under your subscription plan and data-protection law: a non-exclusive, royalty-free, worldwide license to use your User Content to train, fine-tune, evaluate, or improve AI models.

Processing of personal data for Model Training Use will occur only where permitted under applicable data-protection law and in accordance with the Data Processing Agreement. Switch will not use personal data for Model Training Use without a lawful basis (e.g., consent or legitimate interest) and will apply appropriate anonymisation or pseudonymisation safeguards.

Users retain ownership of all images, videos, and materials uploaded to the Platform (“Input Content”). By uploading Input Content, the user represents and warrants that they own or have all necessary rights, licenses, and permissions to use such content for AI-based processing and generation.

Ownership of Outputs and Deliverables is set out in Section 3.2. The Company does not guarantee that AI-generated outputs are unique or exclusive. Similar or identical outputs may be generated for other users.

3.2 Ownership of Outputs, Deliverables, and AI Agents

Subject to payment of the applicable fees, the Customer owns its User Content, the Outputs generated for it through the Services, and the Deliverables of the Managed Services. You grant Switch a non-exclusive, royalty-free, worldwide license to use such Outputs internally for quality control, diagnostics, and product improvement. Switch may use Outputs or Deliverables externally, for example for marketing, showcase, or case studies, only with the Customer’s prior written consent.

Switch owns the Platform, the AI Agents, agent templates, generic prompts and workflows, tooling, know-how, and all general improvements to the Services, and grants the Customer a non-exclusive, non-transferable license to use them during the term of the Agreement. Agent configurations, instructions, and prompts that are specific to the Customer, and the Customer’s data within them, belong to the Customer and are its Confidential Information.

3.2 Managed Services Deliverables

Upon full payment, the Customer owns the Deliverables and may use them for all lawful purposes, subject to any third-party model license restrictions. Switch retains ownership of underlying tools, models, and methodologies as set out in Section 3.2.

Switch retains a non-exclusive, royalty-free license to use Deliverables internally for quality control and support. External use for marketing, demonstration, or case studies requires the Customer’s prior written consent.

Switch will use commercially reasonable efforts to achieve the visual fidelity and quality described by the Customer. However, creative quality and artistic interpretation remain subjective.

3.2A Managed Services – Scope

Switch Managed Services are human-delivered services provided pursuant to an applicable order form or subscription term. Managed Services may include identifying, building, and maintaining AI agents and workflows, AI consulting and onboarding, creative direction, AI-assisted content generation, post-production, and delivery coordination. Managed Services are performed based on Customer-provided briefs and inputs. The intended purpose of Deliverables is as described in the applicable order form or brief.

3.2B Agent Outputs & Deliverables (General)

Deliverables produced by the Services may include, but are not limited to, AI-generated content, automated task outputs, structured data, workflow results, and creative assets. The specific nature of Deliverables is defined in the applicable order form or subscription plan. The following sub-sections describe specific output types as non-exhaustive examples.

3.2C Image Deliverables (example output type)

Image Deliverables consist of AI-generated or AI-assisted still images created in accordance with an approved Customer brief. Unless otherwise agreed in writing, Image Deliverables may include AI-assisted image generation, light post-production and retouching, and visual refinement to align with the agreed creative brief. Simple text overlays or calls-to-action may be included where applicable. All Image Deliverables require a completed and approved creative brief prior to the commencement of production.

3.2D Video Deliverables (example output type)

Video Deliverables consist of short-form AI-generated or AI-assisted video content created in accordance with an approved Customer brief. Unless otherwise agreed in writing, Video Deliverables are up to fifteen (15) seconds in duration and include AI-assisted video generation with light post-production, such as basic cuts, transitions, and static text or logo overlays. Enhanced or premium features, including but not limited to sound design, music, voice-over, animated text, or advanced post-production, may be offered as part of a higher-tier service or pursuant to a separate order or agreement.

3.2E Revisions, Iterations, and Change Requests

Revisions provided at no additional charge are limited to corrections where a Deliverable does not materially conform to the approved brief or where elements explicitly defined in the brief are missing or incomplete. Additional fees or scope adjustments may apply where the Customer requests new creative concepts beyond the approved brief or requests substantive changes that materially alter the original creative direction. Any such changes will be communicated to the Customer prior to execution.

3.2F Delivery Timelines

Unless otherwise agreed in writing, Managed Services Deliverables are provided within commercially reasonable timelines following receipt of all required Customer inputs. Standard delivery timelines are typically within seven (7) business days per asset, subject to project complexity, revision cycles, and Customer responsiveness. Delivery timelines may be extended where additional revisions are requested, scope is expanded, or Customer feedback or approvals are delayed.

Pricing and Commercial Terms

Pricing, asset quantities, subscription duration, and any applicable discounts are defined exclusively in the applicable order form, subscription plan, or other written agreement between the parties. The Customer remains solely responsible for ensuring that Deliverables and Outputs used by Switch for marketing purposes do not infringe or violate any third-party rights.

3.3 Third-Party Models & Licensing Constraints

Use of the Service and Outputs may be subject to the license terms of underlying Third-Party Models. Where such providers restrict training or reuse, those restrictions take precedence and limit Switch’s rights accordingly. Customers acknowledge that their use of the Service is subject to the acceptable use policies of upstream AI model providers, including without limitation Anthropic’s Acceptable Use Policy (https://www.anthropic.com/legal/aup), OpenAI’s usage policies, and Google’s Generative AI Prohibited Use Policy. Customers shall not use the Service in any manner inconsistent with such policies.

3.4 Withdrawal of Training License

You may request that your data be excluded from future training (“opt-out”). Switch will use commercially reasonable efforts to comply, but acknowledges that models already trained cannot be “untrained” and may retain non-identifiable statistical traces. Models cannot be retrained to remove traces.

3.5 Third party dependency clause

Use of Deliverables may be subject to third-party AI model license terms, which may impose restrictions on redistribution, re-training, or commercial exploitation. Switch makes no representation regarding such third-party rights

4. Subscriptions, Payment & Billing

Where a plan includes usage credits or usage limits, they are as stated in the applicable subscription plan, order form, or invoice. Credits, where applicable, are consumed when the Service performs a task, regardless of output quality.

Credits are non-refundable, non-transferable, and may expire according to the applicable subscription plan.

Failed tasks due to verified system errors may be refunded at the Company’s sole discretion.

4.1 Fees, subscription plans, billing cycles, and payment terms are as shown at checkout (Stripe) or in the applicable order form or invoice. These Terms do not set out prices.

4.2 Subscriptions automatically renew at the end of each term unless notice of non-renewal is given under Section 9. You authorize Switch to charge the payment method on file.

4.3 You may cancel renewal by giving notice under Section 9. Cancellation stops future renewals and charges but does not entitle you to a refund for the current term, and fees for the committed term remain payable, unless stated otherwise.

4.4 Switch may change subscription fees with reasonable prior notice.

4.5 You are responsible for all applicable taxes and duties except those based on Switch’s net income.

4.6 Payment is due as stated at checkout or in the applicable order form or invoice. If no due date is stated, payment is due in advance.

4.7 Annual Price Adjustments

Switch may adjust subscription fees once per twelve (12) month period by up to ten percent (10%) to reflect increased operating costs, inflation, changes in market conditions, or regulatory requirements. Any adjustment will take effect upon renewal of the applicable subscription term and will be notified to the Customer at least thirty (30) days in advance.

5. Intellectual Property

All intellectual-property rights in the Services, including software, models, interfaces, AI Agents, agent templates, and documentation, remain the exclusive property of Switch or its licensors, as set out in Section 3.2.

The Customer retains ownership of its own data, Outputs, and Deliverables as set out in Section 3.2, subject to the licenses granted herein.

Switch may collect and analyze anonymized usage data for performance and statistical purposes, provided it does not identify any individual or Customer.

5.1 Third-Party Rights

You shall not upload or use any material for which you lack sufficient rights or that infringes third-party IP.

5.2 DMCA / Takedown

If you believe any material in the Service infringes your rights, please contact us at jakob@switchagent.io. We will investigate and, where appropriate, remove or disable access.

5.3 Feedback

If you provide feedback, suggestions, or feature requests, you grant Switch a perpetual, royalty-free license to use and incorporate them without attribution or compensation.

6. Confidentiality

Each party shall keep the other’s Confidential Information confidential and not disclose it to third parties except as required by law or with prior written consent.

Confidential Information excludes information that is publicly known, already known without breach, obtained lawfully from another source, or independently developed.

6A. Subcontractors and Third-Party Providers

Switch may engage third-party contractors, freelancers, or service providers to assist in providing the Services.

Switch shall use commercially reasonable care in selecting such parties but shall not be liable for their independent acts or omissions beyond Switch’s reasonable control. Processing of personal data by sub-processors is governed by the DPA, under which Switch remains responsible for its sub-processors.

The Customer acknowledges and agrees that Switch may transfer limited Customer Content or Deliverables to such third parties solely as necessary for production, quality assurance, or technical operation of the Services.

6B. Use of AI-Powered Third-Party Tools

Switch utilizes third-party artificial intelligence tools and services (including but not limited to large language models, automation platforms, and AI-assisted operational software) in the course of providing, managing, and improving the Services. These tools may be used for internal operations such as project management, communication, content processing, data analysis, customer support, and administrative workflows.

The Customer acknowledges and agrees that:

(a) Customer Content, communications, briefs, instructions, and other information provided to Switch in connection with the Services may be processed by, transmitted to, or stored within such third-party AI tools as part of Switch's ordinary business operations;

(b) Switch shall use commercially reasonable care in selecting and using such tools but does not control, and shall not be liable for, the data-handling practices, retention policies, or processing activities of third-party AI tool providers beyond the scope of Switch's contractual agreements with such providers;

(c) the Customer is solely responsible for determining what information it shares with Switch and for refraining from submitting any data through the Services or related communications that the Customer does not wish to be processed by third-party AI tools, including but not limited to trade secrets, highly sensitive personal data, or information subject to legal privilege or regulatory restrictions on disclosure;

(d) Switch shall not be liable for any loss, claim, or damage arising from the processing of Customer-provided information by third-party AI tools where such processing occurs in the ordinary course of Switch's operations; and

(e) where applicable data-protection law requires it, Switch will maintain appropriate data-processing agreements with third-party AI tool providers and take commercially reasonable measures to ensure such tools are used in compliance with the Data Processing Agreement referenced in Section 13.

This section applies independently of, and in addition to, Section 6A (Subcontractors and Third-Party Providers) and Section 1.5 (Third-Party Models). For personal data, Sections 6A and 6B are subject to the DPA.

7. Warranties, Disclaimers & Limitation of Liability

7.1 Warranties – The Services are provided “as is” and “as available.” Switch disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

7.2 No Guarantee – AI-generated Outputs are probabilistic and may contain errors or inconsistencies. Switch does not guarantee accuracy or suitability for any specific purpose.

7.3 Limitation of Liability – Neither party is liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits or revenue, brand damage, marketing performance, or loss of data beyond the cost of restoring it from backups.

Each party’s total aggregate liability arising out of or relating to this Agreement is limited to the fees paid or payable by the Customer under this Agreement in the twelve (12) months before the event giving rise to the claim.

The cap above does not apply to: (a) the Customer’s obligation to pay fees; (b) the Customer’s indemnification obligations under Section 8; (c) breach of Section 6 (Confidentiality); or (d) damage caused by gross negligence or wilful misconduct. Nothing in this Agreement limits liability that cannot be limited under applicable law.

7.4 Essential Basis – These limitations are fundamental to the pricing and risk allocation of this Agreement.

7.5 Customer Responsibility for Use. Customer acknowledges and agrees that it is solely responsible for the use, publication, and distribution of any Outputs or Deliverables generated through the Services. Switch shall have no liability whatsoever for any claims, damages, or losses arising from or related to such use, including but not limited to intellectual-property infringement, defamation, data-protection violations, or regulatory non-compliance resulting from Customer’s use of the Outputs.

The Customer is solely responsible for ensuring that any materials, references, or content provided to Switch for use in the Services (including but not limited to photos, videos, or design assets) do not infringe any third-party rights, including but not limited to copyright, trademark, or other intellectual-property rights. Switch assumes no responsibility or liability for such materials, and the Customer shall indemnify and hold Switch harmless from any resulting claims, damages, or legal costs.

7.6 No Legal or Compliance Advice. Switch does not provide legal, regulatory, or compliance advice. The Customer is solely responsible for ensuring that its use of the Services, Deliverables, and Outputs complies with all applicable laws, regulations, and industry standards.

7.7 AI Output Disclaimer

AI-generated Outputs are probabilistic and may contain factual inaccuracies or hallucinations. The Customer is solely responsible for verifying their accuracy before public use. The Platform utilizes third-party artificial intelligence models that generate content probabilistically.

8. Indemnification

The Customer agrees to indemnify, defend, and hold harmless Switch, its officers, employees, and agents from and against any third-party claims, damages, or costs (including reasonable legal fees) arising from the Customer’s (a) breach of this Agreement, (b) violation of applicable law, or (c) use of the Services, Deliverables, or Outputs, including any User Content or misuse of the Services.

Switch’s liability under this Agreement is subject to Section 7.3. Switch shall not be liable for claims arising from unauthorized modification of the Services by the Customer or their combination with non-Switch products.

Customer acknowledges that AI-generated Outputs are probabilistic and may include factual inaccuracies, artifacts, or misrepresentations. Switch disclaims all liability for reliance on Outputs for factual, brand, legal, or regulatory claims. Customer remains solely responsible for verifying accuracy and legality of any published Output.

Switch shall not be liable for any claims arising from the use of Outputs beyond their intended illustrative or creative purpose

9. Term & Termination

This Agreement takes effect on the Effective Date and remains in force for the applicable subscription term. Each subscription runs for the committed term stated in the order form or at checkout, and renews automatically for successive terms of the same length unless either Party gives written notice of non-renewal at least thirty (30) days before the end of the current term. Notice of non-renewal ends the subscription at the end of the current term. It does not end the current term, and the Customer remains liable for all fees for the committed term.

Either Party may terminate this Agreement:

  • for material breach not cured within fourteen (14) days of notice; or

  • immediately if the other Party becomes insolvent or bankrupt.

Upon termination:

  • access to Services ceases;

  • all outstanding amounts become immediately payable;

  • upon request, Switch will return or delete Customer Data within thirty (30) days, subject to legal retention obligations.

  • Switch’s access through Integrations ends. The Customer should also uninstall the Switch app from its Microsoft Teams and Slack workspaces and remove any related consent in Microsoft Entra ID.

10. Modifications to Terms

Switch may revise these Terms from time to time. Material changes will be notified in advance (e.g., email, in-app notice). Continued use after changes constitutes acceptance. If you disagree, you must stop using the Service before the new Terms take effect.

11. Governing Law & Dispute Resolution

This Agreement is governed by Finnish law, excluding conflict-of-laws rules.

Any dispute arising from or relating to this Agreement shall be finally settled by arbitration in accordance with the Rules of the Finland Chamber of Commerce.

Seat of arbitration: Helsinki, Finland.

Language: English.

12. Service Level & Support (SLA)

Switch endeavours to maintain 24/7 platform availability, excluding planned maintenance announced in advance.

  • Support Hours: Monday–Friday, 09:00–17:00 (EET/EEST), excluding Finnish public holidays.

  • Response Time: within one (1) business day.

  • Resolution: commercially reasonable efforts to remedy material issues without undue delay.

This SLA applies to the Self-Service Platform only. Timelines for Managed Services are governed by separate project agreements or order forms.

The Platform is provided on an “as-is” and “as-available” basis.

The Company does not guarantee uninterrupted access, generation speed, or continued availability of specific AI models or Integrations, which may change or be discontinued without notice due to third-party provider limitations.

13. Data Protection

Both Parties shall comply with all applicable data-protection laws, including the EU General Data Protection Regulation (EU 2016/679, “GDPR”).

Where Switch processes personal data on behalf of the Customer, it acts as a data processor and the Customer as data controller.

The rights and obligations governing such processing are detailed in the DPA published at switchagent.io/dpa, which forms an integral part of this Agreement and governs all personal data that Switch processes on the Customer’s behalf, including through Integrations.

The Privacy Policy published at switchagent.io/privacy describes how Switch processes personal data as a controller, for example account, billing, and website data. It does not govern personal data that Switch processes on the Customer’s behalf.

Switch will only use User Content for model-improvement purposes in aggregated or anonymized form. Where User Content contains personal data, such processing will only occur under a lawful basis under Article 6 GDPR, such as explicit consent, or when data has been effectively anonymized.

Switch will not use Customer Content containing identifiable personal data for model training without the Customer’s prior written consent

14. Enterprise Agreements

Enterprise customers may enter into a separate written agreement with the Company. In the event of a conflict, such agreement shall prevail over these Terms.

14.1 Order of Precedence

If the documents forming the Agreement conflict, they apply in this order: (1) a separate signed enterprise agreement; (2) the order form; (3) the DPA, for the processing of personal data; (4) these Terms; (5) the AUP and documentation. An order form overrides these Terms only where it says so expressly.

15. EU Artificial Intelligence Act Compliance

The Platform provides general-purpose artificial intelligence tools, including content generation and AI agent capabilities.

The Company does not provide high-risk artificial intelligence systems as defined under Regulation (EU) 2024/1689 (“EU AI Act”).

The Company acts as a provider of a general-purpose AI-enabled application and does not determine or control how users deploy AI-generated outputs.

Users are solely responsible for ensuring that their use of AI-generated content complies with applicable laws, regulations, and industry standards, including obligations under the EU AI Act when deploying content in regulated contexts.

15.1 Transparency and Disclosure Obligations

Where required by applicable law, including the EU AI Act, users are responsible for clearly disclosing that content has been generated or modified using artificial intelligence.

The Company does not automatically apply watermarks, disclosures, or labeling unless legally required or explicitly enabled by the user.

16. Force Majeure

Neither Party shall be liable for delay or failure to perform due to causes beyond reasonable control, including natural disasters, war, terrorism, labour disputes, or government action.

17. Publicity

Unless otherwise agreed in writing, Switch may reference the Customer’s name and logo in its marketing materials, portfolio, and case studies. Use of Outputs or Deliverables requires the Customer’s prior written consent under Section 3.2.

18. Miscellaneous

18.1 Entire Agreement – This Agreement supersedes all prior agreements or representations.

18.2 Severability – Invalid provisions do not affect the remainder.

18.3 Waiver – Failure to enforce any provision shall not constitute a waiver.

18.4 Assignment – Switch may assign its rights and obligations (e.g., merger or sale). The Customer may not assign without written consent.

18.5 No Third-Party Beneficiaries – No third party has rights under this Agreement.
